1. Agreement to Terms

These Terms of Service ("Terms") govern your use of veluxemedia.com and any services provided by Veluxe Media ("we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use our website or services.

2. Services

Veluxe Media provides digital marketing, AI automation, and web engineering services including but not limited to:

  • Paid advertising management (Google Ads, Meta Ads)
  • AI-powered automation systems and workflows
  • Conversion-optimised website design and development
  • SEO and full-funnel growth strategy

The specific scope, deliverables, timelines, and fees for each engagement are set out in a separate proposal or service agreement signed by both parties. In the event of conflict, the signed service agreement takes precedence over these Terms.

3. Client Responsibilities

To enable us to deliver our services effectively, you agree to:

  • Provide accurate, timely, and complete information as reasonably requested
  • Grant access to ad accounts, analytics platforms, and systems as required
  • Obtain all necessary rights and consents for materials you supply to us
  • Designate an authorised contact person for approvals and communications
  • Review and approve deliverables within agreed timelines

Delays caused by failure to meet these responsibilities may affect project timelines and do not constitute a breach by Veluxe Media.

4. Fees and Payment

4.1 Pricing

Fees are as set out in your proposal or service agreement. Prices are exclusive of VAT or applicable taxes unless otherwise stated.

4.2 Payment Terms

  • Invoices are due within 14 days of issue unless otherwise agreed in writing
  • Late payments may incur interest at 1.5% per month on the outstanding balance
  • We reserve the right to suspend services if payment is overdue by more than 14 days

4.3 Expenses

Any out-of-pocket expenses (e.g., third-party software licences, paid media budgets) will be charged at cost and approved by you in advance.

5. Intellectual Property

5.1 Our Materials

All pre-existing intellectual property, methodologies, templates, and tools owned by Veluxe Media remain our property. Nothing in these Terms transfers ownership of our IP to you.

5.2 Deliverables

Upon receipt of full payment, we assign to you ownership of the final deliverables created specifically for your project (e.g., website code, ad creatives), except for any third-party components or our pre-existing materials incorporated therein.

5.3 Your Materials

You retain ownership of all materials you provide to us. You grant us a non-exclusive licence to use them solely for the purpose of delivering the services.

6. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party and not to disclose it to third parties without prior written consent, except as required by law.

This obligation survives termination of the service agreement for a period of three (3) years.

7. Results and Warranties

While we apply best-practice strategies and strive for strong results, Veluxe Media does not guarantee specific advertising performance metrics, search rankings, conversion rates, or revenue outcomes. Digital marketing results depend on many factors beyond our control, including market conditions, competition, and platform algorithm changes.

Our services are provided with reasonable skill and care in accordance with industry standards.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Our total liability for any claim arising out of or in connection with our services shall not exceed the fees paid by you in the three (3) months preceding the claim
  • We shall not be liable for any indirect, consequential, or special losses, including loss of profits, loss of data, or loss of business opportunity

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Term and Termination

9.1 Term

These Terms remain in effect for the duration of any active service agreement between you and Veluxe Media.

9.2 Termination

Either party may terminate a service agreement with 30 days' written notice unless the agreement specifies otherwise. Upon termination:

  • You shall pay for all services rendered up to the termination date
  • We shall deliver all completed work and materials belonging to you
  • Each party shall return or destroy the other's confidential information

9.3 Termination for Cause

Either party may terminate immediately if the other materially breaches these Terms and fails to remedy the breach within 14 days of written notice.

10. Acceptable Use

By using our website, you agree not to:

  • Use the site in any way that violates applicable law or regulation
  • Transmit spam, malware, or other harmful code
  • Attempt to gain unauthorised access to any part of our systems
  • Scrape, copy, or reproduce site content without permission
  • Use our services to promote illegal, deceptive, or harmful activities

11. Third-Party Platforms

Our services may involve managing accounts on third-party platforms (Google, Meta, etc.). Your use of those platforms is also subject to their respective terms of service and advertising policies, which you are responsible for complying with. Veluxe Media is not liable for changes to third-party platform policies that affect service delivery.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from these Terms or related services shall be subject to the exclusive jurisdiction of the courts of Estonia.

13. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on our website with an updated date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
